Terms of use
These terms cover this website and the early access list. They are deliberately explicit about what ShyPay is not, because a pre-launch fintech that is vague about that is doing something wrong.
About these terms
These terms govern your use of the ShyPay website at shypayments.com, including the early access list. The site is operated by ShyPay, LLC ("ShyPay", "we", "us"), of 8115 NW Eastside Dr, Weatherby Lake, MO 64152, United States. By using the site you accept them. If you do not accept them, please do not use the site.
These terms do not govern the ShyPay mobile application or any payment service, because no such service is available. Separate terms will be published for the application before anyone can use it, and nothing here grants you a right to use a product that does not yet exist.
The product is not launched
ShyPay is in development. There is no public application, no live merchant accepting ShyPay, and no payment service being offered to you on this site.
Everything on this site describing how ShyPay works is a description of a product being built. Features, partners, availability, pricing, and timing may change, and some described capabilities may never ship. Nothing on this site is an offer, a commitment to supply, or a promise of a launch date.
Nothing here is financial, legal, or tax advice
The content of this site is general information about a product. It is not financial advice, investment advice, legal advice, or tax advice, and it is not a recommendation to acquire, hold, or dispose of any asset, including any stablecoin or other digital asset.
Digital assets carry risks, including the risk of total loss. A stablecoin is not a bank deposit, is not covered by deposit insurance or investor compensation schemes, and its issuer, not ShyPay, is responsible for its backing and redemption. You should take your own professional advice before acting on anything you read here.
What ShyPay is, and is not
To be unambiguous about the product being described:
- ShyPay is designed as a self-custody wallet. ShyPay never holds your keys or your funds and cannot move, freeze, recover, or sign for them. Signing uses a split key: one share remains on your device and one is held by the wallet provider in secure hardware. Both shares are required for every signature, so neither the wallet provider nor ShyPay can authorise a transfer without you. You may export your private key and restore your wallet through the wallet provider’s recovery process.
- ShyPay is not a bank, does not take deposits, and does not hold client money.
- Each payment has a tiny Solana network fee, a fraction of a cent, paid from your own wallet. When you add money, a small amount of SOL for network fees is included in the same purchase, so you see one balance and do not need to manage it. Neither ShyPay nor ProxyPay pays that fee or co-signs your payments.
- ShyPay is not itself a licensed or regulated financial institution. Regulated activity in the intended flow — converting between bank money and a stablecoin, and verifying identity — is performed by an independent regulated provider.
- ShyPay is not anonymous. Identity is verified where money enters and leaves, and Solana is a public ledger on which transfers are permanently visible.
- ShyPay is not a means of avoiding any legal obligation, including tax, reporting, or sanctions obligations. You remain responsible for your own compliance.
Independent providers
ShyPay is being built to use Dynamic for wallet key management and Ramp Network for buying and selling USDC; these integrations are in development and are subject to those providers’ approval and terms. Dynamic would hold its share of the split signing key and provide wallet recovery and private key export; Ramp Network would provide fiat on-ramp and off-ramp, identity verification and the associated compliance checks. Settlement is on the Solana network.
Naming them describes an intended technical architecture. It does not mean that any of them endorses, certifies, sponsors, or has a signed agreement with ShyPay, and you should not read it that way. Those services are operated independently under their own terms, and ShyPay is not responsible for their acts, omissions, availability, or decisions.
Relationship with ProxyPay
ShyPay and ProxyPay are separate companies under common ownership, and that relationship is disclosed to our providers and partners. They are built to run on separate systems, and ShyPay does not receive merchant records or what you bought.
The early access list
Asking to join early access is a request to be contacted. It is not a purchase, not a reservation, not the creation of an account, and not a guarantee that you will receive access. Nothing is charged and nothing is owed.
We may limit early access by region, by number, or by any other reasonable criterion, and we may close the list. You may leave at any time by replying to any message we send you or by writing to privacy@shypayments.com.
Prohibited uses of ShyPay
These restrictions describe how the ShyPay product may be used once it is available, and they will be carried into the application's own terms. They apply in addition to any rules imposed by the independent regulated provider that handles funding and cash-out.
You must not use ShyPay, or attempt to use it:
- For anything unlawful where you are, or where the person you are paying is.
- To buy or sell illegal goods or services, including controlled substances, weapons prohibited to you, stolen goods, or child sexual abuse material.
- To launder money, to conceal the proceeds of crime, or to structure transactions in order to avoid a reporting or verification requirement.
- To evade sanctions, export controls, or any other restriction imposed by a competent authority, or to transact with a sanctioned person, entity, or jurisdiction.
- To finance terrorism or any other prohibited activity.
- To commit fraud, including impersonating another person, using a funding instrument you are not entitled to use, or inducing someone to pay you by deception.
- To operate a money transmission, exchange, or payment business on behalf of third parties without the licences that activity requires.
- If you are under 18, or under the age of majority where you live if that age is higher.
- If you are located in, ordinarily resident in, or acting on behalf of a person in a jurisdiction subject to comprehensive sanctions, or if you appear on a sanctions list.
We may decline to provide ShyPay's own services, and the regulated provider may decline to process a funding or cash-out transaction, where these rules are broken. Because ShyPay is non-custodial software, ShyPay cannot freeze, seize, or reverse funds held in your own wallet, and nothing in this section should be read as suggesting that it can.

Payments are irreversible
This section describes the product being built and will be carried into the application's own terms.
A payment you approve settles on the Solana network and is final. ShyPay cannot reverse it, recall it, or compel its return, and neither can the wallet provider. There is no chargeback right and no dispute process that moves the money back to you.
- Check the recipient and the amount before you approve. Both are shown to you, and approval is a separate, deliberate act for exactly this reason.
- If you have paid a merchant and want money back, ask that merchant for a refund. A refund is a new payment the merchant chooses to send, not a reversal.
- If the merchant will not help, contact support@shypayments.com. We will tell you what we can and cannot do, which will usually be limited.
- Report suspected fraud to abuse@shypayments.com.
Sanctions and screening
ShyPay will not make the service available to persons or jurisdictions subject to applicable sanctions, and will screen wallet addresses against sanctions lists. Because the product is in development, this states the control being built rather than one operating today.
You represent that you are not located in, ordinarily resident in, or acting on behalf of a person in a jurisdiction subject to comprehensive sanctions, and that you do not appear on any applicable sanctions or watchlist. Using ShyPay to evade sanctions or export controls is prohibited under the section above.
The regulated provider handling cash-in and cash-out performs its own screening on every transaction it processes. Because ShyPay is non-custodial, it cannot freeze or seize funds held in your own wallet.
Acceptable use of this site
Please do not use this site to break the law, to attempt to gain unauthorised access to it or to anything connected to it, to disrupt it, to scrape it in a way that degrades it for others, or to impersonate ShyPay or anyone else.
Good-faith security research is welcome and is governed by our responsible disclosure policy, which sets out what we will not treat as a breach of these terms.
Intellectual property
The ShyPay name, logo, site design, and written content are owned by ShyPay, LLC, except where stated otherwise. The Plus Jakarta Sans typeface used on this site is licensed under the SIL Open Font License by its own authors.
You may quote from this site for the purpose of reporting on or reviewing ShyPay, with attribution. The press and brand page sets out how the logo may be used. Please do not use the ShyPay name or mark in a way that implies an endorsement, partnership, or affiliation that does not exist.

Where this site links to another website, we do not control it and are not responsible for its content, its accuracy, or its privacy practices. A link is not an endorsement.
The site is provided as it is
We take reasonable care over this site, but we provide it on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error-free, or free of harmful components, and we do not warrant that any description of a product in development will prove accurate.
Liability
Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to that, and to the fullest extent permitted by the law that applies to you, ShyPay is not liable for loss of profit, loss of business, loss of data, or any indirect or consequential loss arising from your use of this site or reliance on its content. Some jurisdictions do not allow certain exclusions, in which case this section applies only so far as the law allows and your statutory rights are unaffected.
Changes
We may change this site and these terms. The date at the top of this page shows when they were last updated, and using the site after a change means you accept the revised terms. Because the product is pre-launch, we expect these terms to be revised materially before any service is offered.
Governing law
ShyPay, LLC is the operator of this site and is registered at 8115 NW Eastside Dr, Weatherby Lake, MO 64152, United States. The specific governing law and the courts that will hear any dispute have not been settled and are therefore not stated here; this section will be completed before any product is offered to the public. Nothing in this section limits any mandatory protection available to you as a consumer where you live.
